Terms of Service

1. Agreement to Terms
By engaging Darkforce Digital (“we,” “our,” or “us”) for advertising management services or by using our website and platform, you agree to these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Darkforce Digital provides Amazon advertising management, optimization, and analytics services. The specific scope, deliverables, and pricing for each engagement are outlined in a separate service agreement or statement of work between you and Darkforce Digital. These Terms of Service apply in addition to any such agreements.
3. Client Responsibilities
- Provide accurate and timely access to your Amazon Advertising accounts as needed for service delivery
- Maintain active Amazon Seller or Vendor accounts in good standing
- Communicate goals, budget constraints, and campaign preferences clearly
- Review and respond to performance reports and optimization recommendations in a timely manner
- Ensure that all products advertised comply with Amazon’s advertising policies
4. Account Access and Authorization
You authorize Darkforce Digital to access and manage your Amazon Advertising accounts for the purpose of providing the agreed-upon services. This includes creating, modifying, and pausing campaigns, adjusting bids and budgets, and accessing performance data. You retain ownership of your Amazon accounts and all associated data at all times.
5. Fees and Payment
Fees for our services are specified in your service agreement. Unless otherwise stated, invoices are issued monthly and payment is due within 30 days of the invoice date. We reserve the right to suspend services for accounts with overdue payments exceeding 60 days.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement, including but not limited to campaign strategies, performance data, pricing, and technology details. This obligation survives termination of the service agreement.
7. Intellectual Property
Our platform, tools, methodologies, and proprietary technology remain the exclusive intellectual property of Darkforce Digital. Campaign strategies and optimizations developed specifically for your account are delivered as part of the service engagement, and you retain full ownership of your campaign data and account structure.
8. Disclaimers
While we work diligently to optimize campaign performance, we do not guarantee specific results, including sales figures, ACOS targets, or revenue outcomes. Amazon Advertising performance is influenced by many factors beyond our control, including marketplace competition, product listings, inventory, pricing, and Amazon’s auction algorithms. Darkforce Digital is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc.
9. Limitation of Liability
To the maximum extent permitted by law, Darkforce Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
10. Termination
Either party may terminate the service engagement with 30 days written notice. Upon termination, we will provide a transition period to transfer campaign management back to you or to another provider. All fees for services rendered through the termination date remain due and payable.
11. Changes to Terms
We may update these Terms of Service from time to time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
